Depends on the motherboard more than the processor, but I'd be inclined to say yes... Corsair's a good name. It'd probably only run at 333 mhz instead of 400, but that should be automatic.

But, again, depends on the mobo, and I'm not to familiar with Athlon XP chipsets.
